Welcome to the CenterGravityCoaching.com / CenterGravityLeadership.com website. These Terms of Use (“Terms”) are a legal contract between you and DragonTail LLC, doing business as Center Gravity (“DragonTail”, “Center Gravity” “us”, “our” or “we”) and govern your use of the website, including all text, data, information, software, graphics, photographs and more (herein referenced as “Materials”) that we and our affiliates may make available to you, as well as any services (“Services”) we may provide through any of our websites (referred to in these Terms as this “Site”).

Legally Binding Agreement

These Terms govern use of this Site and are for the purpose of protecting all rights in the provision of , and access to, Materials, information, and other features which may be available on our Site. Anyone unwilling to be bound by these terms should immediately exit this Site and discontinue all use. Use of this site, or returning to the site in the future, infers alignment and agreement to this full suite of Terms.

 Additional terms may be activated upon purchase of any services and/or policies contained on our Site, through our affiliates, through external RFP, or via customized proposals for work. Any additional terms will be specifically set forth in connection with such purchases and/or usage of features. By making such purchases and/or using such features, you agree to be bound by all additional terms connected to such purchases and/or features. If you do not want to be bound by such additional terms in connection with the purchase of services and/or policies addressed on our Site or in connection with your use of any features on our Site, you should not make purchases via this site, or use such features.

The contents of our Site, as well as any of our content on any affiliated Sites, are protected by copyright and trademark laws, and are the full and inclusive property of their owners. Repost, resale, or any other use of any published content without written express permission is prohibited; all content is deemed protected and/or proprietary content and assets. All content within is for informational purposes only, unless otherwise noted. Breach of any of these Terms will result in the immediate termination of allowed use for any licensed material and all downloaded or printed materials must be immediately destroyed.

Site Access Privileges

By using the Site, you represent, acknowledge and agree that you are at least 21 years of age. All the information provided when registering for an event, or account, and otherwise through the Site must be accurate, complete and up to date. Attendees for events must be 21 years of age or older. Changes, corrections or deletions any information from your account may be accomplished by logging into your account directly and making the desired changes or contacting Center Gravity using the contact information available .

We reserve the right to update product and service offerings via the website. We may, in the future, create the need for account registration and passwords. We may experience delays in updating information on the Service and in our advertising on other websites. As such, the information found may occasionally contain errors or inaccuracies and may not be complete or fully current. Products or services may show estimated prices until final prices are determined; we reserve the right to update products, and discontinue workshops as customer and client needs evolve. We reserve the right to change or update information as needed to best sustain our business and meet majority customer needs, and to correct errors, inaccuracies, or omissions at any time without prior notice. This site is hosted by SquareSpace - we affirmatively disclaim any liability for any occasions on which our Site may be unavailable for your use.

Limits and Liabilities - Services and Programs are not Psychological Treatment or Advice

The information included within or made available through the Site, our workshops, and our coaching sessions / events are in no way represented as psychological treatment, and are in no way intended to deemed replacement or substitutions for the services of trained medical professionals including, but not limited to general MDs, psychological counseling, psychiatric therapy, or other health professionals. You understand coaching is not therapy. Center Gravity, DragonTail LLC affirms our services are not substitute for therapy, nor do any of our activities, exercises, or information prevent, cure, or treat any mental disorder or medical disease.

If you are currently under the care of a mental health professional, it is recommended that you promptly inform the mental health care provider of the nature and extent of the Services. Coaching is designed to support, not replace, medical, psychological and/or psychiatric advice and treatment. As we do explore limiting beliefs, there may be times when participating in the Services and/or events may be a difficult experience, both physically and emotionally and may lead to physical, psychological, and emotional strains, pressures, and/or distress, which may cause, without limitation, anxiety, discomfort, embarrassment, anger, and/or shock. You acknowledge and understand that you are fully responsible for managing yourself, your actions and emotions in connection with the Services and you are solely responsible for all actions taken by you in connection with Coaching. If at any time you are having disparate or troubling thoughts, including those of self-harm or other depressive thoughts, services will be refused and you will be strongly encouraged to consult a doctor in all matters relating to physical or mental health, particularly concerning any symptoms that may require diagnosis or medical attention. We, our partners, affiliates, licensors, and suppliers make no representations or warranties concerning any treatment, action, or application of medication or preparation by any person following the information offered or provided within or through the Site, or through events (retreats). Information included is not a substitute for licensed financial or legal expertise. Neither we or our affiliates, nor our partners or any of their affiliates, will be liable for any direct, indirect, consequential, special, exemplary or any other damages that may result, including but not limited to economic loss, injury, illness or death. You alone are responsible and accountable for your decisions, actions and results in life, and by your use of the Site, you agree not to attempt to hold us liable for any such decisions, actions or results, at any time, under any circumstance.

If you join a Center Gravity retreat, you attest that you are qualified, in good health, and in proper physical and mental condition to participate in and understand the nature of the activities to be undertaken with respect to the Services. If at any time you believe that your participation in the Services would put you or others at risk of harm, you will decline to participate in the Services, or immediately discontinue further participation. Your participation in the Services is voluntarily and you knowingly and expressly assume any and all risks and damages to yourself or others arising from your participation in the Services. DragonTail LLC and/or CenterGravity, and it’s representatives are not responsible or liable for physical or mental injury or harm.

Limits and Liabilities: Electronic security

We are not liable for any damage or loss caused by a distributed denial-of-service attack, trojans, viruses, or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of our Site, or to the download of any material posted on within now or in the future, or on any affiliate website we may link to. Further, we cannot, and do not, guarantee continuous, uninterrupted or secure access to the Site. In no event shall the total liability for damages, losses, and causes of action (whether in contract, tort, or otherwise) for electronic infractions be the responsibility of DragonTail LLC dba Center Gravity, or any of our licensors or suppliers, due to your accessing the Site(s).

DragonTail LLC and Center Gravity reserves all rights not expressly granted in, and to, our Site and the Materials on our Site.

Any third-party trademarks or trade names on this Site which do not fall under DragonTail LLC dba Center Gravity protections are the trademarks or trade names of their respective owners. The display of these trademarks or trade names on this Site is with permission, and does not convey or create any license or other rights in these trademarks or trade names. Any unauthorized use of those third-party trademarks without their sole written permission is strictly prohibited.

Non-compete and confidentiality agreements

Users of our Sites, and our affiliated Sites, acknowledge all information, tools, processes, strategies, materials and information presented on these Sites, or in subsequent workshops, sessions, or events, are under legal copyright and deemed fully proprietary. The recording, duplication, distribution, teaching, training, or other use (beyond personal) is strictly prohibited without direct written consent.

 Indemnification

You agree, at your own expense, to indemnify, defend, and hold harmless the Released Parties (defined above) against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, arising in any way from: (a) your use of the Site; (b) your unauthorized use of any Material and/or Center Gravity’s products or services: (c) your breach or violation of these Terms and any applicable laws; and/or (d) any allegation that any submissions or other materials you submit to us otherwise violate the copyright, trademark, trade secret, or other intellectual property or other rights of any third party. DragonTail LLC dba Center Gravity reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification, and in such case, you agree to cooperate with same in the defense of any such claim.

Testimonials

If you submit a written testimonial regarding services (e.g., coaching, event participation, workshops, et al) received from Center Gravity, Tamara Skye (nee Ledbetter) or any of it’s affiliate Coaches and/or representatives via this website or other written means, you hereby agree to Center Gravity, DragonTail LLC, or any future entity associated with same may publicly identify you without prior notification or consent, as the source of Your Content provided by you, and that such right shall survive the termination of your Site privileges, as well as the termination of these Terms. You expressly agree that we may remove, disable, edit for brevity, or restrict access to, or the availability of, any of Your Contributions from this Site (including, but not limited to, Contributions that you have posted or stored) for any reason.

(Future) Purchases and Privacy

 If you wish to purchase any product or service made available through the Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your email, phone, home address, and credit card number (including the expiration date and validation code). You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete. We reserve the right to employ the use of common and well-established third party services for the purpose of facilitating payment and the completion of Purchases for both individual, and corporate entities. By using this Site and submitting any personally identifiable information, you agree with, and consent to, the processing, transfer, usage, and/or storage of your personally identifiable information in accordance with our Privacy Policy. Non-financial data is stored in a secure database and will not be sold or utilized for any purpose other than our direct business with you. No financial information will be stored without your express consent, rather it will be utilized for immediate purchased then destroyed. If you do not so agree and consent, then you should immediately exit this Site and discontinue all use of our Site. If you remain on our Site, or return at any point in the future, then you agree to the processing, transfer, usage, and/or storage of your personally identifiable information in accordance with our Privacy Policy.

Termination

Your access privileges are conditions upon your adherence to these Terms. Center Gravity may, in its sole discretion, restrict, suspend or terminate your right to access this Site for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

 Arbitration

Except for any disputes relating to intellectual property rights, obligations or any infringement claims, which shall be governed by U.S. federal law, any disputes arising out of, or relating to, these Terms (“Disputes”) shall be governed by the laws of the State of Arizona, United States regardless of your country of origin or where you access Center Gravity, and notwithstanding any conflicts of law principles. Any and all disputes shall be managed in accordance with the laws of the United States, and the State of Arizona, as mandated for transactions entered into wholly within Arizona, between Arizona residents, regardless of your State or Country of location.

All Disputes arising out of, or relating to, these Terms (including formation, performance, breach, enforceability, and validity of these Terms) or our operation of this Site shall be resolved by final and binding arbitration through the American Arbitration Association to be held in the City of Scottsdale, Arizona, pursuant to the commercial rules of the American Arbitration Association. The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of these Terms, including, but not limited to, any claim that all or any part, of these Terms is void or voidable. Further, if you are located outside of the United States, we retain the right to bring proceedings against you for breach of these Terms in your country of residence or any other appropriate country.

 Either party to these Terms may obtain preliminary injunctive relief in the Circuit Court of Scottsdale, Arizona, located in the City of Scottsdale, Arizona, for the purpose of enforcing any provision of these Terms pending a final determination in arbitration or permanent relief for the purpose of enforcing arbitral awards.

 Potential for revision

These Terms may be modified only by our posting of a revised version of these Terms on our Site. DragonTail LLC dba Center Gravity retains the full right to revise these Terms by posting a revised version of the Terms on our Site at any time without advance notice. Any amendments, deletions and/or additions to these Terms will be effective and deemed to apply beginning from the time that the revised Terms are posted on our Site. Any such amendments, deletions and/or additions will not apply retroactively to events that occurred prior to such amendments, deletions and/or additions. Your continued use of our Site will constitute your agreement to any amended, deleted and/or added provisions within the revised Terms.
